Travel Agent E-Term Agreement
Effective Date: June 12, 2025
1. Introduction
This Travel Agent Agreement (the “Agreement”) is entered into by and between Euro Khmer Voyages (the “Company”), a travel service provider operating under the laws of the Kingdom of Cambodia, and the independent travel agency or travel agent (the “Agent”) who accepts these terms via online acknowledgment or signature. This Agreement governs the relationship, rights, and obligations of both parties concerning the promotion and sale of the Company’s travel services.
2. Appointment & Authority
2.1 Appointment:
The Company hereby appoints the Agent as a non-exclusive sales partner to promote and sell the Company’s travel services and packages.
2.2 Authority & Limitations:
The Agent is authorized to market and sell the Company’s services in accordance with this Agreement. The Agent shall not act or represent themselves as an employee, legal representative, or partner of the Company, nor enter into any contractual obligation on the Company’s behalf.
2.3 Brand Representation:
The Agent agrees to use only official, Company-approved promotional materials and to comply with the Company’s brand guidelines.
3. Agent’s Responsibilities
3.1 Promotion & Sales Conduct:
The Agent shall use reasonable efforts to actively promote and sell the Company’s services and shall conduct all business dealings in a professional, lawful, and ethical manner.
3.2 Legal Compliance:
The Agent must comply with all applicable national and international laws, regulations, and licensing requirements in the territories where they operate.
3.3 Accurate Information:
The Agent shall provide clients with accurate, clear, and complete information regarding the Company’s services, including pricing, inclusions, exclusions, terms, and conditions.
3.4 Data Protection & Privacy:
The Agent shall safeguard all personal data in accordance with applicable data protection laws, including the Kingdom of Cambodia’s personal data regulations and, where applicable, international data protection standards (e.g. GDPR). The Agent shall obtain client consent before sharing personal data with the Company.
3.5 Complaint Handling:
The Agent agrees to notify the Company promptly and in writing of any customer complaints, service issues, or incidents within thirty (30) days of the client’s return.
4. Company’s Responsibilities
4.1 Product & Service Delivery:
The Company shall provide travel services in accordance with confirmed bookings and itineraries and maintain acceptable service standards.
4.2 Sales Support:
The Company shall supply the Agent with marketing materials, product updates, and reasonable operational support to assist in sales efforts.
5. Pricing & Payment Terms
5.1 Nett Rates:
The Company shall provide the Agent with confidential nett rates for all travel services and packages. The Agent may apply a markup at their sole discretion when selling to their clients.
5.2 Payment Terms:
Bookings confirmed by the Company are subject to the payment terms stated in the official quotation, pro forma invoice, or booking confirmation issued for each booking. The Agent must settle all payments according to the deadlines specified therein.
5.3 Cancellations, Amendments & Refunds:
Any cancellations, changes, or refunds will be subject to the Company’s standard cancellation and amendment policies applicable at the time of booking. Refunds, where applicable, shall be processed based on the nett amounts received from the Agent, less any applicable charges. The Agent shall be solely responsible for refunding their clients based on their own retail pricing policies.
5.4 Currency & Bank Charges:
All rates and payments shall be made in US Dollars, unless otherwise agreed in writing. The Agent shall bear any associated bank charges, credit card fees, or intermediary transaction costs incurred in remitting payment to the Company.
5.5 Rate Confidentiality:
The Agent agrees to keep all nett rates strictly confidential and shall not publish, disclose, or distribute these rates publicly or to any third party without prior written consent from the Company.
6. Confidentiality
6.1 Confidential Information:
Both parties agree to maintain the confidentiality of all proprietary, financial, client, and operational information exchanged during the term of this Agreement.
6.2 Non-Disclosure:
The Agent shall not disclose any confidential information to third parties without the prior written consent of the Company.
7. Force Majeure
Neither party shall be liable for any failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, or government restrictions. In such cases, the affected party shall promptly notify the other and both parties shall work in good faith to reschedule or modify affected services.
8. Booking Amendments & Service Changes
8.1 Itinerary Adjustments:
The Company reserves the right to make reasonable changes to itineraries, services, accommodations, or transportation when operationally necessary or beyond its control.
8.2 Service Substitutions:
Where possible, the Company will offer equivalent or superior alternatives and inform the Agent promptly of any significant changes.
9. Photo & Media Usage Consent
The Agent grants the Company permission to use photographs, testimonials, and promotional content shared by the Agent or their clients for marketing purposes, provided the Agent confirms that appropriate client consent has been obtained.
10. Indemnification
The Agent agrees to indemnify, defend, and hold harmless the Company, its officers, employees, and affiliates from any claims, losses, damages, or legal actions arising from the Agent’s breach of this Agreement, negligence, or willful misconduct.
11. Governing Law & Dispute Resolution
11.1 Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia. Any matters not expressly provided for herein shall be subject to the relevant provisions of Cambodian law.
11.2 Dispute Resolution:
The parties shall attempt to resolve any disputes amicably through direct negotiation. If no resolution is reached within thirty (30) days, either party may submit the dispute to the Tourism of Cambodia (MOT) for final and binding arbitration under its rules. The place of arbitration shall be Phnom Penh, Cambodia, and the language of the proceedings shall be English.
12. Term & Termination
12.1 Term:
This Agreement shall commence on the Effective Date and remain in force until terminated by either party.
12.2 Termination for Convenience:
Either party may terminate this Agreement at any time by providing thirty (30) days' written notice.
12.3 Termination for Cause:
The Company may terminate this Agreement immediately in the event of a material breach by the Agent or if the Agent engages in misconduct or acts in a manner detrimental to the Company’s interests.
13. Entire Agreement
This document constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements, communications, and understandings, whether written or oral.
14. Amendments
This Agreement may only be amended, modified, or waived in writing with the mutual consent of both parties.

All notices under this Agreement shall be made in writing and delivered by email or registered post to the following addresses:

Acceptance
By submitting this agreement electronically or ticking the acceptance box on the Company’s website, the Agent confirms that they have read, understood, and agreed to be legally bound by these terms and conditions.
IN WITNESS WHEREOF
By registering as a travel agent partner with Euro Khmer Voyages and clicking "I agree" on the website registration form "agent portal", the Agent acknowledges that they have read, understood, and agreed to these terms and conditions.
